1. Agreement to Terms

1.1 Acceptance of Terms

By accessing, browsing, or using the Properti Nigeria platform (the “Platform”), available at properti.ng and any associated mobile applications, you (“User”, “you”, or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this Platform.

 

1.2 Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

 

1.3 Changes to Terms

Properti Nigeria Limited (“Properti”, “we”, “us”, or “our”) reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on the Platform with a new “Last Updated” date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

Certain features of the Platform may be subject to additional terms and conditions, which will be presented to you at the time you access such features. Those additional terms are incorporated by reference into these Terms.

 

2. Platform Description and Services

2.1 Nature of Platform

Properti Nigeria is an online marketplace and connection platform that facilitates interactions between property seekers, real estate agents, property owners, and real estate companies (collectively, “Users”). The Platform allows Users to:

• Post, browse, and search property listings
• Submit and respond to property requests
• Schedule property inspections
• Communicate regarding real estate opportunities
• Access property-related information and resources

 

2.2 No Real Estate Transactions

IMPORTANT: Properti Nigeria does NOT:

• Buy, sell, rent, or lease properties
• Act as a real estate broker, agent, or intermediary in property transactions
• Process payments for property purchases, rentals, or leases
• Hold funds in escrow
• Guarantee the completion of any real estate transaction
• Verify the accuracy of property information, ownership, or legal status
• Provide legal, financial, or real estate advice

 

2.3 Platform Role

We provide technology services that enable Users to connect with each other. All property transactions, negotiations, agreements, and payments occur directly between Users. Properti Nigeria is not a party to any agreements between Users and bears no responsibility for the actions, representations, or conduct of any User.

 

2.4 Subscription Services

Properti Nigeria offers optional paid subscription plans that provide enhanced features and privileges on the Platform, including but not limited to:

• Priority listing placement
• Advanced analytics and reporting
• Increased listing limits
• Enhanced profile features
• Premium customer support
• Additional platform capabilities

Subscription details, pricing, and features are available on our Platform and may be modified at our discretion.

 

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information as prompted by the registration form. You agree to:

• Provide truthful and accurate information
• Maintain and update your information to keep it accurate and current
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

 

3.2 Account Types

The Platform offers different account types:

• Seeker: For individuals searching for properties
• Agent: For verified real estate professionals
• Owner: For individual property owners
• Company: For registered real estate companies

Each account type has specific features, limitations, and verification requirements.

 

3.3 Verification Process

Certain account types (Agents, Owners, Companies) require verification through submission of documents such as:

• Government-issued identification
• Professional licenses
• Corporate registration documents
• Proof of property ownership
• Other documentation as required

Properti Nigeria reserves the right to:

• Verify submitted information and documents
• Approve or reject verification requests at our sole discretion
• Request additional information or documentation
• Revoke verification status if information is found to be false or misleading
• Implement additional verification requirements at any time

 

3.4 Account Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Providing false or misleading information
• Failure to maintain account security
• Extended periods of inactivity
• At our sole discretion for any reason

 

3.5 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use a strong, unique password
• Not share your account with others
• Immediately notify us of any security breach
• Accept full responsibility for all activities under your account

 

4. User Content and Conduct

4.1 User Content

“User Content” means any content, information, data, text, photos, videos, or other materials that you or other Users post, upload, submit, or transmit through the Platform, including but not limited to:

• Property listings and descriptions
• Profile information
• Reviews and ratings
• Messages and communications
• Property requests
• Comments and feedback

 

4.2 License Grant

By posting User Content on the Platform, you grant Properti Nigeria a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in connection with operating and providing the Platform and our business, including for promotional purposes.

 

4.3 User Content Representations

You represent and warrant that:

• You own or have the necessary rights to post your User Content
• Your User Content does not violate any third-party rights
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and applicable laws
• You have obtained all necessary permissions, releases, and consents

 

4.4 Prohibited Content

You agree NOT to post User Content that:

• Is false, fraudulent, misleading, or deceptive
• Infringes intellectual property or proprietary rights
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, pornographic, or offensive
• Promotes illegal activity
• Harasses, threatens, or intimidates others
• Contains discriminatory content based on race, religion, gender, sexual orientation, disability, or other protected characteristics
• Violates privacy rights or includes personal information without consent
• Constitutes spam or unsolicited commercial communication
• Impersonates another person or entity

 

4.5 Property Listings – Specific Requirements

For property listings specifically, you represent and warrant that:

• You have the legal right to list the property
• All property information is accurate and current
• All photos are of the actual property
• The property complies with all applicable laws and regulations
• You have disclosed all material defects or issues
• The property is available for the stated purpose (sale, rent, etc.)
• Pricing information is accurate
• You have not listed the same property multiple times without authorization

 

4.6 Prohibited Conduct

You agree NOT to:

• Use the Platform for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to the Platform
• Collect or harvest information about other Users
• Use automated systems (bots, scrapers, etc.) without permission
• Post duplicate or spam content
• Manipulate reviews or ratings
• Circumvent any security or verification measures
• Engage in any fraudulent activity
• Discriminate against any person or group
• Solicit Users to use competing services
• Use the Platform to engage in off-platform transactions to avoid fees

 

4.7 Content Monitoring

Properti Nigeria has the right, but not the obligation, to:

• Monitor, review, and moderate User Content
• Remove or refuse to post any User Content
• Edit or modify User Content for clarity or compliance
• Investigate potential violations of these Terms
• Preserve User Content for legal purposes

We do not pre-screen User Content and are not responsible for User Content posted by Users.

 

5. Intellectual Property Rights

5.1 Platform Ownership

The Platform, including its design, features, functionality, graphics, logos, text, images, software, and all related intellectual property rights, is owned by Properti Nigeria Limited or our licensors and is protected by Nigerian and international copyright, trademark, and other intellectual property laws.

 

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not include any right to:

• Modify, copy, or create derivative works of the Platform
• Reverse engineer, decompile, or disassemble the Platform
• Remove any copyright or proprietary notices
• Use the Platform for commercial purposes beyond the intended use
• Frame or mirror any portion of the Platform
• Use data mining, robots, or similar data gathering tools

 

5.3 Trademarks

“Properti Nigeria” and related logos, service marks, and trade names are trademarks of Properti Nigeria Limited. You may not use these trademarks without our prior written permission.

 

5.4 Copyright Infringement

We respect intellectual property rights. If you believe that any content on the Platform infringes your copyright, please contact us at legal@properti.ng with:

• Identification of the copyrighted work
• Location of the infringing material on the Platform
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

 

6. Payments and Subscriptions

6.1 Subscription Plans

Properti Nigeria offers various subscription plans with different features, limits, and pricing. Current plans and pricing are available on the Platform and may be changed at our discretion with notice to existing subscribers.

 

6.2 Payment Terms

• All fees are in Nigerian Naira (NGN) unless otherwise stated
• Subscription fees are billed in advance on a recurring basis (monthly, annually, etc.)
• You authorize us to charge your designated payment method
• All fees are non-refundable except as required by law or as expressly stated
• You are responsible for all taxes associated with your subscription

6.3 Payment Methods

We accept payment through authorized third-party payment processors. You agree to comply with the terms of service of any payment processor you use.

6.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee unless you cancel.

 

6.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial periods.

 

6.6 Fee Changes

We may modify subscription fees at any time. Fee changes for existing subscribers will take effect at the start of the next billing period following notice of the change.

 

6.7 Free Trials

We may offer free trial periods for subscription plans. If you do not cancel before the trial ends, you will be automatically charged for the subscription.

 

6.8 Payment Disputes

If you believe you have been incorrectly charged, you must contact us within 30 days of the charge. We are not responsible for any fees charged by your financial institution.

 

6.9 Important Payment Clarification

PROPERTI NIGERIA ONLY PROCESSES PAYMENTS FOR SUBSCRIPTION SERVICES. We do NOT:

• Process payments for property purchases, sales, or rentals
• Hold earnest money or deposits for properties
• Act as an escrow service
• Facilitate property-related financial transactions
• Guarantee any payments between Users

All property-related payments occur directly between Users outside of our Platform.

 

7. Third-Party Services and Links

7.1 Third-Party Content

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by Properti Nigeria. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

 

7.2 No Endorsement

The presence of links to third-party websites does not imply endorsement, sponsorship, or recommendation by Properti Nigeria.

 

7.3 Third-Party Terms

Your use of third-party services is governed by their respective terms of service and privacy policies.

 

7.4 Payment Processors

We use third-party payment processors to handle subscription payments. Your payment information is processed according to their privacy policies and terms of service.

 

8. Disclaimers and Limitations of Liability

8.1 Platform “AS IS”

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of MERCHANTABILITY
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or virus-free operation

 

8.2 No Warranty on User Content

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING:

• The accuracy, completeness, or reliability of User Content
• The legal status, ownership, or condition of any listed property
• The qualifications, background, or conduct of any User
• The outcome of any transaction or interaction between Users
• The verification status or credentials of verified Users

 

8.3 Property Information Disclaimer

PROPERTI NIGERIA DOES NOT:

• Verify property ownership, legal status, or conditions
• Conduct property inspections or assessments
• Confirm property availability or pricing
• Guarantee property descriptions are accurate
• Ensure properties comply with applicable laws and regulations
• Warrant that properties are suitable for any particular purpose

 

8.4 User Interactions Disclaimer

You acknowledge and agree that:

• All interactions with other Users are at your own risk
• We are not responsible for the conduct of any User
• We do not conduct background checks on Users (beyond document verification)
• Verification status does not guarantee trustworthiness or competence
• We are not liable for disputes between Users
• Users are solely responsible for their own due diligence

 

8.5 Real Estate Professional Disclaimer

PROPERTI NIGERIA IS NOT:

• A licensed real estate broker or agent
• A real estate company or developer
• A property management service
• A legal or financial advisor
• An escrow or title company

We do not provide real estate, legal, financial, tax, or investment advice. You should consult appropriate professionals before making any property-related decisions.

8.6 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

A. NO LIABILITY FOR INDIRECT DAMAGES PROPERTI NIGERIA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits or revenue
• Loss of business opportunities
• Loss of data or information
• Business interruption
• Loss of goodwill
• Property damage or loss
• Personal injury
• Costs of substitute services

B. MAXIMUM LIABILITY CAP IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM EXCEED THE GREATER OF:

• NGN 50,000 (FIFTY THOUSAND NAIRA); OR
• THE AMOUNT YOU PAID TO PROPERTI NIGERIA IN SUBSCRIPTION FEES IN THE 12 MONTHS PRECEDING THE CLAIM

C. Basis of the Bargain You acknowledge that the limitations in this section are fundamental elements of the agreement between you and Properti Nigeria, and that we would not provide the Platform without these limitations.

 

8.7 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

 

9. Indemnifiaction

9.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Properti Nigeria Limited, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, “Indemnified Parties”) from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney’s fees and court costs) arising from or related to:

A. Your Use of the Platform

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any applicable laws or regulations

B. Your User Content

• Any User Content you post or submit
• Any claims that your User Content violates third-party rights
• Any false, inaccurate, or misleading information you provide

C. Property Listings

• Any property you list on the Platform
• Property condition, legal status, or ownership issues
• Misrepresentation of property details
• Failure to disclose material defects or issues
• Violations of housing or property laws

D. User Interactions

• Your interactions with other Users
• Any transactions or agreements with other Users
• Disputes with other Users
• Any harm caused to other Users

E. Verification and Credentials

• Falsification of documents or credentials
• Misrepresentation of professional qualifications
• Unauthorized practice of real estate services

F. Third-Party Claims

• Claims by property owners, tenants, or other parties
• Regulatory or governmental actions
• Any other third-party claims related to your use of the Platform

 

9.2 Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims and not to settle any claim without our prior written consent.

 

9.3 Survival

This indemnification obligation will survive termination of your account and these Terms.

 

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

 

10.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising from or related to these Terms or your use of the Platform shall be brought exclusively in the courts located in Lagos, Nigeria. You consent to the personal jurisdiction of such courts and waive any objection to venue.

 

10.3 Negotiation Requirement

Before initiating any legal proceeding, the parties agree to attempt to resolve disputes through good faith negotiation for a period of at least 30 days.

 

10.4 Arbitration (Optional)

The parties may mutually agree to submit disputes to binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria.

 

10.5 Class Action Waiver

You agree to bring claims against Properti Nigeria only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

 

10.6 Time Limitation

Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.

 

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your settings
• Contacting customer support
• Ceasing to use the Platform

 

11.2 Termination by Us

We may suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal conduct
• At our sole discretion

 

11.3 Effect of Termination

Upon termination:

• Your right to access and use the Platform immediately ceases
• We may delete your account and User Content
• All licenses granted to you terminate
• You remain liable for all obligations incurred prior to termination
• Sections of these Terms that by their nature should survive will survive

 

11.4 No Refunds Upon Termination

If your account is terminated for violation of these Terms, you will not be entitled to any refund of subscription fees.

 

11.5 Post-Termination Data

We may retain certain information as required by law or for legitimate business purposes, in accordance with our Privacy Policy.

 

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Properti Nigeria regarding the Platform and supersede all prior agreements and understandings.

 

12.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

 

12.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

 

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations at any time without notice or consent.

 

12.5 No Agency

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.

 

12.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or fuel crises.

 

12.7 Notices

• We do NOT verify property ownership, condition, legal status, or value
• We are NOT responsible for the accuracy of property listings
• You are solely responsible for conducting your own due diligence
• You should engage qualified professionals (lawyers, surveyors, real estate agents) for property transactions
• We do NOT guarantee any transaction will be completed
• We have NO liability for any losses arising from property transactions

 

13.2 Verification Disclaimer

YOU ACKNOWLEDGE THAT:

• Verification status indicates only that certain documents were submitted and reviewed
• Verification does NOT guarantee competence, trustworthiness, or legitimacy
• We do NOT conduct comprehensive background checks
• We do NOT verify the authenticity of all submitted documents

• We are NOT responsible for any harm, injury, or loss that occurs during or as a result of User interactions

YOU ACKNOWLEDGE THAT:

• We do NOT provide financial, investment, or tax advice

• We are NOT responsible for any financial losses you may incur

14. Anti-Discrimination Policy

Properti Nigeria is committed to compliance with the Nigerian Constitution and all applicable fair housing and anti-discrimination laws. Users may not:

• Discriminate based on race, color, religion, sex, national origin, disability, familial status, or any other protected characteristic

• Indicate any preference, limitation, or discrimination in property availability

 

14.2 Enforcement

We will investigate reports of discrimination and may remove content or terminate accounts that violate this policy.

 

15. Reporting Violations

While we appreciate reports of violations, we have no obligation to investigate or take action, and we make no guarantee regarding the outcome of any investigation.
